Please read these Terms of Use ("Terms") carefully before using the Chatter AI mobile application ("App") operated by Data King LLC ("we", "us", or "our").

1. Acceptance of Terms

By downloading, installing, or using the App you agree to be bound by these Terms. If you do not agree, do not use the App.

2. Description of Service

Chatter AI provides an automated algorithmic trading software tool that places orders in your linked brokerage account on your behalf. The App requires you to connect a valid brokerage account using your own API credentials. Chatter AI is a technology tool only — it is not a broker-dealer, registered investment adviser, or financial institution.

3. Eligibility

You must be at least 18 years old and legally permitted to trade in your jurisdiction. By using the App you represent and warrant that you meet these requirements.

4. No Financial Advice

Nothing in the App constitutes investment advice, financial advice, trading advice, or any other type of advice. All trading involves risk. Past performance is not indicative of future results. You are solely responsible for all trading decisions and any resulting gains or losses.

5. Performance Fees

We charge a performance fee of 10% of realized gains generated by the bots within a calendar month. No fee is charged in months where gains are zero or negative. Fees are displayed in the App prior to billing. Payment is processed through Google Play (Android) or Apple In-App Purchase (iOS). Full details are available at chatter-ai.co/fee-schedule.

6. User Responsibilities

Keep your account credentials and brokerage API keys confidential.
You are responsible for all activity that occurs under your account.
Do not use the App for unlawful purposes or in violation of your brokerage's terms of service.
Ensure you have sufficient funds in your brokerage account; we are not responsible for margin calls or insufficient-funds errors.

7. Disclaimers

THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE UNINTERRUPTED OR ERROR-FREE OPERATION.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DATA KING LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS OR TRADING LOSSES, ARISING OUT OF YOUR USE OF THE APP, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Termination

We reserve the right to suspend or terminate your access to the App at any time for violation of these Terms or for any other reason at our sole discretion.

10. Changes to Terms

We may modify these Terms at any time. Continued use of the App after changes constitutes acceptance of the revised Terms.

11. Governing Law

These Terms are governed by the laws of the State of Idaho, United States, without regard to its conflict-of-law provisions.
